1Acceptance of Terms
By accessing this website and placing a B2B order, you agree to be bound by these Terms and Conditions. These terms apply exclusively to business-to-business (B2B) transactions and govern all commercial relationships between Divine Yard L.P. and its wholesale clients.
2Product Nature & Sourcing
- Wild-Harvested: Our Miracle Berries are hand-picked and wild-harvested from West Africa. As natural products, slight variations in colour or size may occur and are not considered defects.
- Certified Manufacturing: All processing — including tablet production and freeze-drying — is conducted by a Certified European Manufacturer in full compliance with EU food safety standards.
3Wholesale & B2B Orders
- Eligibility: Orders are only accepted from registered businesses with a valid VAT number (where applicable).
- Order Confirmation: A contract is only formed once Divine Yard issues a formal order confirmation email.
- Minimum Order Quantity (MOQ): Specific MOQs apply to different product categories and will be communicated directly upon inquiry.
4Pricing & Payment
- Prices: All listed prices are inclusive of shipping costs unless otherwise stated, and exclude VAT where applicable.
- Payment Terms: Standard payment is required in advance via Proforma Invoice, unless a credit line has been pre-approved in writing by Divine Yard.
Prices cover both European and non-European destinations. Shipping costs are included unless explicitly excluded in the quotation document.
5Shipping & Delivery (Incoterms)
- Fulfillment: Products are shipped from our hubs in Europe and/or Africa respectively, depending on product type and order specifications.
- Risk of Loss: Unless otherwise agreed in writing, deliveries are made under EXW (Ex Works) or DAP (Delivered at Place) Incoterms. Risk passes to the buyer upon delivery to the carrier.
- Customs & Import Duties: For non-EU clients, the buyer is solely responsible for all import duties, taxes, and local regulatory compliance in the destination country.
6Returns & Quality Claims
- Inspection Period: Clients must inspect goods within 48 hours of receipt. Any claims regarding quality or quantity must be submitted in writing within 7 calendar days of receipt.
- B2B Returns Policy: Returns are not accepted for "unwanted" goods. Only defective or non-compliant products are eligible for replacement or credit note, following inspection by our quality team.
7Use of Products
Novel Food Status: Miracle Berries (Synsepalum dulcificum) are authorised as a Novel Food in the European Union for use in food supplements under Regulation (EU) 2021/1974.
It is the buyer's sole responsibility to ensure their end-use application complies with all applicable local regulations in the destination market. Divine Yard provides documentation to support compliance but cannot guarantee regulatory approval in all jurisdictions.
8Limitation of Liability
Divine Yard L.P. shall not be liable for any indirect or consequential losses, loss of profit, loss of revenue, or damage resulting from:
- Misuse or improper handling of the products by the buyer or their customers
- Shipping delays or disruptions beyond our reasonable control (force majeure)
- Non-compliance with local regulations in the buyer's destination market
Our total liability under any claim shall not exceed the value of the order to which the claim relates.
9Governing Law & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Greece. Any disputes arising from or in connection with these terms shall be resolved exclusively in the courts of Corfu, Greece.
